Terms of service

GENERAL TERMS AND CONDITIONS OF SALE

1. Scope

1.1 These general terms and conditions of online sale ("General Terms and Conditions") apply to all sales contracts entered into between "Drop Srl" (with registered office at Via Sandro Pertini n.1, Montegranaro (FM), 63812, Tax Code and VAT No. 01383870431, hereinafter "Drop" or the "Seller"), which markets on behalf of "Dike Srl" (with registered office in Via Giovanni Duprè n.1, Padua (PD), 35134, Tax Code and VAT No. 05095250287, hereinafter referred to as "Dike" or the "Manufacturer/Supplier"), the "DIKE" brand products for sale in the online shop on the website "www.dike.works" (the "Website"), and the customer, pursuant to Article 3 of Legislative Decree No. 206/2005 ("Consumer Code"), as a consumer, i.e. a natural person acting for purposes unrelated to any entrepreneurial, commercial, craft or professional activity carried out (the "Customer"), on the basis of orders submitted electronically through the Website. Drop therefore reserves the right not to process orders from parties other than the Customer.

1.2 By accepting these General Terms and Conditions when purchasing a product on the Website, the Customer declares that they have carefully read their content and undertake to comply with their provisions. The Customer may not purchase products through the Website if they do not accept these General Terms and Conditions.

1.3 The General Terms and Conditions apply regardless of the Customer's nationality, provided that the products are delivered to one of the countries where the online sales service is active.

2. Changes to the General Terms and Conditions

2.1 Drop reserves the right to make changes to these General Terms and Conditions from time to time, where such changes are necessary to ensure compliance with new legal provisions, for technical reasons, to adapt them to the sales models adopted by Drop or to better protect the rights of the parties. The most recent version of the General Terms and Conditions is published from time to time on the Website. In any case, the version of the General Terms and Conditions in force at the time of placing the relevant order applies to each purchase.

3. Creating an account

3.1 In order to purchase the products on the Website, the Customer must (i) log in to the Website with their authentication credentials already obtained following the creation of an account in their name on the Website, or (ii) create a new account on the Website, or (iii) proceed with the purchase as a "guest" user, without the need for any registration.

3.2 To create a new account on the Website, the Customer must (i) correctly fill in the fields of the registration form, entering all the data requested therein (including, but not limited to: name, surname, e-mail address, username and password), (ii) confirm that they have read the privacy policy on the Website and provide any additional consents, and (iii) confirm the registration.

3.3 When creating an account on the Website, the Customer must choose a username and password, complying with the criteria for creating passwords indicated on the Website from time to time. The Customer acknowledges and accepts that the login credentials for the Website are personal and must not be disclosed or transferred to third parties. The Customer undertakes to keep their password secret and to immediately notify Drop in the event of unauthorised use of the account or loss or theft of login credentials by sending a written communication to Drop at the addresses indicated in Article 16, providing a detailed explanation of the incident and a copy of their identity document. Upon receipt of notification from the Customer, Drop will block the Customer's login credentials and provide them with new login credentials. Drop accepts no responsibility for any loss or damage resulting from the Customer's failure to keep their password secure or to notify Drop of unauthorised use, loss or theft of their password. The Customer assumes all responsibility towards Dike and Drop for any loss and/or damage resulting from any unauthorised use of their account.

3.4 Registration on the Site is free of charge, it being understood that (i) the Customer is responsible for the cost of the Internet connection used to access the Site, according to the rates, terms and conditions applied by their operator, and (ii) the purchase of a product on the Site entails the obligation for the Customer to pay Drop the fees due for that product.

3.5. Following registration on the Website, the Customer will receive an email at the address provided during registration.

3.6. The Customer may cancel their account at any time by sending an email to Drop at the address indicated in Article 16 below. Upon receipt of such notification, any contractual relationship between the Customer and Drop - except for purchase orders already sent before the cancellation request - shall be deemed terminated and the Customer's username and password shall be deleted.

4. Guest login

4.1 The Customer may also purchase through the Site as a guest, without creating an account on the Site. In this case, the Customer must (i) correctly fill in the fields of the appropriate form on the Site, entering all the data requested therein (including, but not limited to: name, surname, billing and delivery address, e-mail address), (ii) confirm that they have read the privacy policy on the Website and provide any additional consents, and (ii) accept these General Terms and Conditions.

4.2 After completing the form, the Customer may select a payment method from those indicated in Article 8.1 below and electronically submit their purchase order to Drop.

5. Conclusion of the purchase contract

5.1 The Customer must select the products and add them to the shopping cart, without prejudice to the possibility of modifying or deleting the contents of the shopping cart at any time before proceeding with the submission of the purchase order.

5.2 Submitting a purchase order through the Website constitutes a binding offer to purchase the selected products and, therefore, to conclude a purchase contract, which will be governed entirely by these General Terms and Conditions ("Contract").

5.3 Before confirming the purchase order, the Customer is required to check the purchase order summary to ensure that all the information provided is correct. Any errors in the data entered can be corrected using the appropriate data modification functions on the Website. Once the order has been submitted, it will no longer be possible to make corrections.

5.4 Once the purchase order has been sent, Drop will send the Customer an e-mail confirming receipt of the order, containing the order number and details of the order placed ("Confirmation of Receipt").

5.5. The Customer is required to keep the order number in the Confirmation of Receipt for the purposes of any communication with Drop.

5.6. The Confirmation of Receipt does not in itself constitute acceptance of the purchase order. The Customer's offer to conclude a Contract shall only be deemed accepted upon execution of the order and issuance of the relevant invoice, with Drop having the right to refuse the order until that moment. In the event of non-acceptance of the order, Drop shall promptly notify the Customer and refund any sums already paid in accordance with Article 8.7.

6. Product selection

6.1 The Customer may only purchase products listed in the catalogue published on the Website and available at the time of the Customer's purchase order. The product catalogue may be updated periodically, therefore Drop does not guarantee that a product will remain available or that all sizes/versions of each product/colour in the catalogue will be available.

6.2 Each product is accompanied by a description of its main characteristics. The images and colours of the products in the descriptions may not correspond exactly to the actual products, due to the settings of the computer systems or devices used by the Customer to view the Website. Therefore, the images published should be considered indicative within the limits of normal tolerance.

6.3 The products on the Website are available while stocks last. If, although selectable, the chosen product is not available, Drop will promptly notify the Customer by email and will refund any sums already paid by the Customer in accordance with Article 8.7.

7. Product prices

7.1 The sales prices indicated on the Website are inclusive of VAT, if applicable, based on the country of shipment of the products.

7.2 The sales prices applicable to the Customer are those published online at the time the purchase order is placed. These prices are subject to change without notice. It is the Customer's responsibility to check the final price before placing the purchase order.

7.3 In the event of a recognisable error in the indication of the price of a product or in the calculation of the amount requested for payment, Drop will not accept the order proposal and will contact the Customer to allow them to submit the correct purchase order proposal.

7.4 Drop reserves the right to apply different sales prices depending on the country of shipment of the products.

7.5. All prices of products on the Website are net of shipping costs, which, if applicable, will be communicated during the purchase process before the order is submitted.

8. Payments; invoicing; refunds

8.1 The payment methods available to the Customer are listed below:

●      Credit card (Visa, Mastercard, American Express, Maestro);

●      PayPal;

●      Google Pay;

●      Apple Pay;

●      Scalapay.

8.2 The payment system only accepts Visa, Mastercard, American Express and Maestro cards (Visa Electron cards that are not enabled for online payments are excluded).

8.3 In the case of payment via PayPal, the Customer will be redirected to a page on the PayPal website where, after entering their email address and password, the payment will be made. Payment can only be made using a verified PayPal account. To do this, please visit the PayPal website.

To use Google Pay, the Customer must use Google Chrome, be logged into their Google account and have a payment card added to their Wallet.

To use Apple Pay, the Customer must use Safari, be logged into their cloud account via Apple ID and have a payment card added to their Wallet.

8.4 Credit card details are managed directly by banks (Payment Service Providers) specialising in online payment management; PayPal details are managed directly by PayPal. The information is encrypted using the latest generation encryption systems, which prevent its use by third parties, and is not shared with Drop, but is sent directly to the bank or PayPal.

8.5 In cases of purchases made using a credit card, PayPal, Google Pay or Apple Pay, the transaction will be authorised at the time of the purchase order. Drop will not accept the purchase order if payment is not authorised by the relevant operator.

8.6 Drop reserves the right to request additional information from the Customer (e.g. telephone number) or to request a copy of documents proving ownership of the credit card used, solely for the purpose of verifying payment by credit card and for the further protection and safeguarding of the Customer. In the absence of the required documentation, Drop reserves the right not to accept the purchase order.

8.7 In the event of cancellation of the order, or non-acceptance of the same, Drop will refund the Customer, as soon as possible, any amounts already paid. Refunds of amounts paid by the Customer to Drop will be made using the same payment method used by the Customer to make the purchase. Refunds will be processed in the times and manner provided for by the operator of that payment instrument. If there is no correspondence between the recipient of the order indicated in the order proposal and the person who made the payment for the purchase, the refund of the amounts, in the event of cancellation of the order, or non-acceptance of the same, or exercise of the right of withdrawal, will in any case be made to the person who made the payment.

8.8 It should be noted that in online sales, according to Article 22 of Presidential Decree No. 633 of 26/10/1972 and Article 2, letter oo) of Presidential Decree No. 696 of 21 December 1996 (as confirmed by Resolution no. 274/E of 5 November 2009), the seller is not required to issue an invoice (or receipt or tax receipt) to the consumer purchaser (i.e. not a VAT number holder). However, the Customer may request that Drop issue a tax invoice by sending a request via email within 7 (seven) days from the date of purchase, following the order confirmation. The request must include all the information necessary for the issuance of the invoice. Tax invoices may only be requested for orders placed with a shipping and/or billing address located within the European Union. Drop does not issue tax invoices for orders with shipping and billing addresses outside the European Union. For the purposes of issuing the invoice, the information provided by the Customer in the request shall be deemed accurate and relied upon. Once the invoice has been issued, it cannot be amended. The Customer is therefore advised to carefully verify the accuracy of the information provided before submitting the request. Any request for the issuance of a tax invoice received after the expiry of the 7 (seven)-day period from the date of purchase will not be accepted. After such period has elapsed, it will no longer be possible to request the issuance of a tax invoice. If the Customer does not request an invoice, Drop will still send a purchase receipt, without fiscal validity, to the email address or residential address provided during registration or on the order form, for assistance or warranty purposes only.

9. Shipping and delivery of products

9.1 Products purchased on the Website are delivered to the shipping address indicated by the Customer when registering on the Website or purchasing the product. Products are delivered by affiliated couriers to the shipping address indicated by the Customer on the order form. Couriers may not be able to deliver to locations that are particularly difficult to reach; in such cases, Drop will notify the Customer that the order has not been accepted.

9.2 Upon delivery of the products to the courier, the Customer will receive a confirmation email from Drop with a tracking code, which will allow the Customer to constantly monitor the shipment ("Shipping Confirmation"). The date of shipment of the products coincides with the date on which the products are entrusted to the courier responsible for delivery.

9.3 Delivery times and costs vary depending on the country of destination. In any case, delivery times are indicative and not binding for Drop, except as provided for in Article 10.

The shipping costs of the products are borne by the Customer, who is informed of them during the purchase process, before the order is placed, except as provided below. Dike reserves the right to change the shipping costs as regulated above, for example, by offering free shipping only for purchases exceeding a certain threshold and/or only for certain countries of shipment and/or only for certain days/periods of the year, highlighting this on the Website and notifying the Customer during the purchase process before the order is placed.

Shipments to all non-EU countries are made on a DDU (Delivery Duty Unpaid) basis. Any customs duties shall be borne entirely by the Customer, and the courier may therefore issue a separate invoice requesting payment of the duties and taxes required by the local authorities. Customers residing in non-EU countries are advised to check local taxes and duties before placing an order with the Seller.

9.4 Upon delivery of the product(s), the Customer is required to check that: (i) the number of packages corresponds to that indicated in the transport documents and (ii) the packaging is intact and shows no signs of damage, tampering or alteration. If this check is not satisfactory, the Customer must immediately make the necessary complaints to the courier, refusing the product or accepting it with written reservations on the transport document. Failing this, once the courier's document has been signed, the Customer may not make any complaints about the external characteristics of the goods delivered. Furthermore, the Customer must inform Drop of the incident by contacting Customer Service as per Article 16, no later than 8 (eight) days from the date of delivery of the product, to report any problems relating to the physical integrity, correspondence or completeness of the products received. In any case, the Customer's right to the legal guarantee of conformity referred to in Article 13 below and the right of withdrawal referred to in Article 14 below shall remain unaffected, provided that the legal requirements are met.

10. Late delivery

10.1 Where the Contract has been concluded and the delivery of the products ordered by the Customer has not taken place within the terms communicated, the terms of delivery of the products to the Customer shall be extended up to a maximum of 30 (thirty) days from the conclusion of the Contract.

10.2 In accordance with Article 61 of the Consumer Code, if Drop does not deliver the products within the time limit referred to in Article 10.1, the Customer may:

●      withdraw from the Contract in accordance with the procedures set out in Article 14.2 and obtain a refund in accordance with Article 14.4;

●      or ask Drop to make the delivery within an additional period appropriate to the circumstances. If the additional period expires without the products having been delivered, the Customer is entitled to terminate the Contract, without prejudice to the right to a refund of all amounts paid for the performance of the Contract and to any compensation for damages.

11. Product collection

11.1 In the event of non-delivery of the products due to the Customer's absence or for any other reason (incorrect address, non-existent address, etc.), a further delivery attempt will be made or the courier will store the products at its warehouse until they are collected by the Customer, who will be informed by means of a delivery attempt notice. If the products are not collected within the period indicated in the attempted delivery notice, they will be returned to Drop. In this case, the Contract shall be deemed terminated by law in accordance with Article 1456 of the Civil Code, by sending written notification to the Customer via email, and the relevant purchase order will be cancelled. Within the following 15 (fifteen) days, Drop will refund the price paid by the Customer for the products, minus the costs of the unsuccessful delivery, the costs of returning the products and any other costs incurred due to the non-delivery of the products due to the Customer's absence or failure to fulfil their obligation to receive the delivery.

11.2 Following the notification referred to in Article 11.1, Customers who wish to request delivery of previously ordered products must place a new purchase order, without prejudice to Drop's right to refuse such an order.

12. Customer representations and warranties

12.1 The Customer declares and warrants: that they are legally entitled to accept these General Terms and Conditions; that they are of legal age; that the personal data and other information provided to Drop when registering on the Website or purchasing a product is true, correct and up to date; that they will use the Website in compliance with any applicable law or regulation, refraining from any form of direct and/or indirect use of the Website that is contrary to the law, these General Terms and Conditions or prejudicial to the rights of third parties.

Drop reserves the right to verify the information provided at any time and by any means at its disposal, including by requesting appropriate supporting documentation from the Customer and, in the event of a violation, to close or suspend the Customer's account.

12.2 The Customer undertakes to indemnify and hold Drop harmless against any liability, action, cost, expense and claim that may arise from the Customer's breach of the representations and warranties set out in Article 12.1, without prejudice to Drop's right to terminate the Contract with immediate effect in accordance with Article 1456 of the Civil Code.

13. Legal guarantee of conformity

13.1 Products sold to the Customer through the Website are covered by the legal guarantee of conformity provided by the Manufacturer/Supplier, as set out in Articles 128 et seq. of the Consumer Code ("Legal Guarantee"). In order to benefit from the guarantee, the Customer must keep and present the invoice (or purchase receipt or delivery note) that they will receive upon delivery.

13.2 The Legal Guarantee may be requested for any lack of conformity existing at the time of delivery of the product, provided that the lack of conformity becomes apparent within 2 (two) years of delivery of the product. The Customer is required to report the lack of conformity by contacting Customer Service in the manner indicated in Article 16; such report must contain an accurate and complete description of the defects or faults claimed. In this case, Customer Service is required to acknowledge the Customer's communication and provide instructions for shipping the defective product.

13.3 The Customer may, at their discretion, request that the product be repaired or replaced at no cost to them, unless the chosen remedy is objectively impossible or excessively burdensome compared to the other, taking into account all circumstances and, in particular, those listed in Article 135-bis, paragraph 2, of the Consumer Code.

13.4 The Manufacturer/Supplier may refuse to bring the goods into conformity by repair or replacement if repair or replacement is impossible or if the costs to be incurred by the Manufacturer/Supplier are disproportionate, taking into account all circumstances, including those listed in Article 135-bis, paragraph 2, letters a) and b) of the Consumer Code.

13.5 The Customer may, at its discretion, request an appropriate price reduction or termination of the Contract if one of the following situations occurs: (i) the Manufacturer/Supplier has not carried out the repair or replacement or has not carried out the repair or replacement, where possible, in accordance with Article 135-ter, paragraphs 1, 2 and 3 of the Consumer Code, or has refused to bring the goods into conformity in accordance with Article 13.4 above; (ii) a lack of conformity becomes apparent despite the Manufacturer/Supplier's attempt to restore the conformity of the goods; (iii) the lack of conformity is so serious as to justify an immediate price reduction or termination of the sales contract; (iv) the Manufacturer/Supplier has stated or it is clear from the circumstances that it will not restore the conformity of the goods within a reasonable period of time or without significant inconvenience to the Customer. It remains understood that the Customer is not entitled to terminate the contract if the lack of conformity is minor.

13.6 Where, after collection of the product, it is found that the reported lack of conformity actually exists, any costs of transport, repair or replacement of the product shall be borne by the Manufacturer/Supplier. Otherwise, i.e. if it is found that the reported lack of conformity does not exist or that the conditions for the applicability of the Legal Guarantee are not met, the Legal Guarantee will not apply and all transport costs and costs related to the verification of the alleged lack of conformity will be borne by the Customer, who will be notified thereof.

13.7 The Customer acknowledges and accepts that any defects or damage occurring after the delivery of the goods, such as those caused by improper use by the Customer or third parties, are not covered by the Legal Guarantee.

14. Right of withdrawal

14.1 Pursuant to Articles 52 et seq. of Legislative Decree No. 206/2005 and subsequent amendments, the Customer has the right to withdraw from the contract, without giving any reason, within 14 (fourteen) days of delivery of the products, or from the day on which the Customer or a third party designated by the Customer acquires physical possession of the products. If the Customer has purchased multiple products in a single order that were delivered on different dates, the withdrawal period expires 14 (fourteen) days after the date of delivery of the last product. Withdrawal is not permitted for types of products for which this is expressly excluded pursuant to Article 59 of Legislative Decree No. 206/2005 and subsequent amendments (e.g. for goods made to measure or clearly personalised).

14.2 To exercise the right of withdrawal, the Customer, in accordance with Article 54 of the Consumer Code, may use, at their discretion, one of the following methods:

  1. fill in the online return form on the Website in the "Return Request" section in the footer of the Website;
  2. send the Seller an explicit statement of their intention to withdraw from the contract to the following contact: eshop@dike.works.

The Customer must include the order number indicated in the Confirmation of Receipt referred to in Article 5.4 in the email exercising the right of withdrawal or in the return form.

14.3 Upon receipt of the withdrawal request, Drop will promptly send the Customer an email confirming receipt of the request and documentation containing instructions on how to return the product.

14.4 In the event of withdrawal, the Customer will be refunded all amounts paid to Drop at the time of purchase, including delivery costs if all purchased products are returned, with the exception of additional costs arising from the choice of a type of delivery other than the least expensive standard delivery offered.

The refund will be made without undue delay and in any case no later than 14 (fourteen) days from the day on which Drop was informed of the Customer's decision to withdraw from the Contract. The refund will be made using the same means of payment used by the Customer for the initial transaction.

The costs of returning the returned products shall be borne by the Customer and, if the Customer uses the return collection service provided by the Seller, they shall be deducted from the amount of the refund due following the exercise of the right of withdrawal.

These costs are as follows:

Italy and Vatican City: EUR 10

Europe: EUR 20

Norway: EUR 40

United Kingdom: EUR 40

Switzerland: EUR 40

Dike reserves the right to change the charges for returning products, for example by offering free returns for partial returns and/or returns above a certain value and/or only for returns from certain countries and/or only on certain days/periods of the year, by indicating this on the Website and notifying the Customer during the return process.

Customs charges for returns from non-EU countries will be borne by Dike only if the Customer uses the return collection service provided by the Seller. Therefore, customs charges will be borne by the Customer only for returns for which the Customer has chosen, at their discretion, not to use the collection service provided by the Seller.

14.5 Unless the Customer has agreed to use the return collection service provided by Drop, the Customer is required to return the products to Drop - at their own expense - without undue delay and in any case within 14 (fourteen) days from the day on which they notified Drop of their intention to withdraw from the Contract. The deadline is considered to have been met if the Customer returns the products before the expiry of the 14 (fourteen) day period to the following address: Dike Srl c/o Dachser & Fercam Italia S.r.l., Padua Branch, via Inghilterra n.10, 35127 Padua, Italy. Drop may suspend the refund due as a result of the exercise of the right of withdrawal until the products are received or until the Customer has demonstrated that they have returned the products, whichever occurs first.

14.6 The Customer is required to return the products in perfect condition, undamaged, with the original labels still attached, anti-theft tags still in place where applicable, and in the original packaging. In particular, returned products must not have been worn, used, washed or altered in any way. The return of incomplete, damaged, used or altered products in any way will not be accepted. The packaging of the products must be accurate, in order to protect the original packaging from damage, writing or labels. In the case of returns of products relating to orders that also contain free products, the free products must also be returned.

14.7 In the event of forfeiture of the right of withdrawal due to expiry of the terms or in the event that the return cannot be accepted because it does not comply with the conditions set out in Article 14.6, Drop will notify the Customer by registered letter with return receipt; if the product has already been returned, it will remain available to the Customer at the warehouse at the following address: Dike Srl c/o Dachser & Fercam Italia S.r.l., Padua Branch, via Inghilterra n.10, 35127 Padua, Italy, so that it can be collected at the Customer's expense. After 120 (one hundred and twenty) days from the date of receipt of the registered letter, Dike and Drop can no longer be held responsible for the safekeeping of the product whose return has been refused.

15. Protection of personal data

15.1 Dike is the data controller for Customers' personal data. Drop processes Customers' personal data as data processor, appointed for this purpose pursuant to Article 28 of EU Regulation 2016/679. The purposes and methods of processing are specified in the Privacy Policy published in the footer of the Website in the "Privacy Policy" section.

16 Customer service

16.1 Customer Service, which Customers can contact for any information, to request assistance or to submit complaints, can be reached by email at eshop@dike.works or by telephone on 0497360438.

17 Online dispute resolution

17.1 For the resolution of disputes relating to online sales contracts, purchasers residing in the EU also have the option of resorting to impartial certified out-of-court settlement bodies, which also operate electronically. Further information is available at the following link:

https://europa.eu/youreurope/citizens/consumers/consumers-dispute-resolution/out-of-court-procedures/index_it.htm

18 Applicable law and jurisdiction

18.1 These General Terms and Conditions are governed entirely by Italian law. Conflict of law rules and, in any case, rules of private international law, as well as the United Nations Convention on Contracts for the International Sale of Goods (CISG) adopted in Vienna on 11 April 1980, are excluded.

The mandatory provisions of law applicable in the country where the Customer has their habitual residence shall always apply.

18.2 Any dispute that may arise between the parties in relation to the validity, interpretation, execution and termination of these General Terms and Conditions or of each Contract - if the Customer intends to bring the matter before the ordinary courts - shall be subject to the exclusive jurisdiction, at its discretion, of the Court of Fermo or the Court of the country of residence or domicile of the consumer, if the latter country is a Member State of the EU. The Seller shall submit any dispute arising under these General Terms and Conditions to the competent Court of the country in which the Customer is habitually resident, if it is an EU Member State; otherwise, it shall be submitted to the Court of Fermo.
